Noah Metz
Noah Metz is the firm’s transactional tax associate.
Noah has experience advising, structuring, and implementing corporate and partnership acquisitions and dispositions, including taxable and tax-free mergers, with both public and private companies. Noah has helped form private equity and hedge funds and has represented investors in private equity and hedge funds. Noah is experienced in structuring Opportunity Zone investments and in navigating issues relating to Qualified Small Business Stock, and has given presentations on both subjects.
Noah has advised clients with respect to:
- Mergers and acquisitions
- Capital markets transactions: equity and debt offerings, including IPOs and credit agreements
- Private equity and hedge fund formations and operations
- Choice of entity and other initial entity formation tax structuring issues
- Structuring and analyzing investments in Qualified Small Business Stock
- Structuring investments in Opportunity Zones
Noah received his J.D. from the UCLA School of Law, where he was a Kirschbaum Tax Scholar and received the Bruce I. Hochman Award for Excellence in Tax Law. Noah received his B.A. in Psychology and Economics, with Honors, from Northwestern University. Prior to joining Pacific Tax and Compensation Counsel, Noah practiced as a tax associate at Simpson Thacher & Bartlett LLP and at Paul Hastings LLP. Noah has published several articles in Tax Notes. Noah was voted a "Rising Star" in 2018, 2020, and 2021 by Southern California Super Lawyers.
Noah spends his free time with his wife and two children. Noah is also an avid home brewer, and enjoys trail running and jazz piano.
